Job Responsibilities:
- Provide comprehensive secretarial services to the Board of Directors and senior management, ensuring compliance with corporate governance and regulatory requirements.
- Prepare, maintain, and ensure the accuracy of corporate records, including board minutes, resolutions, and statutory registers.
- Companies Act, 2016 (“the Act”), prepare and submit Statutory Returns with the Companies Commission of Malaysia (“CCM”) in compliance.
- Coordinate the preparation and filing of all necessary documents and returns with regulatory authorities, ensuring timely compliance with legal obligations.
- Advise the Board and management on corporate governance best practices, including changes in relevant legislation.
- Organize and facilitate Board meetings, including the preparation of agendas, meeting materials, and compiling minutes of the meetings.
- Assist in the development and implementation of corporate governance policies and procedures.
- Act as a liaison between the company and its shareholders, ensuring effective communication and addressing any queries or concerns.
- Provide training and support to staff on compliance and corporate governance matters.
- Monitor and report on changes to corporate law and governance practices that may affect the company.
Job Requirements:
- Bachelor's degree in Law, Business Administration, or a related field; a professional qualification in company secretarial practice (e.g., ICSA/ Licensed Secretary) is preferred.
- Minimum of 5-7 years of experience in a company secretarial role or corporate governance function.
- Strong knowledge of corporate governance principles, company law, and regulatory compliance.
- Good knowledge of Companies Act 2016, Listing Requirements, Malaysian Code on Corporate Governance, and other relevant Securities Commission guidelines.
- Excellent organizational and time management skills with meticulous attention to detail.
- Exceptional written and verbal communication skills, with the ability to convey complex information clearly.
- Ability to manage multiple tasks and projects efficiently in a dynamic environment.
- Strong interpersonal skills and the ability to work collaboratively with cross-functional teams.
- Fluency in English and Bahasa Malaysia; proficiency in other languages is a plus.
- Demonstrated integrity and discretion in handling confidential information.
